Service Prepayment Expiration Policy

Important Notice: February 15, 2008

Borland sells consulting, implementation, education, training and other services on a time and materials basis on daily or hourly rates as stated in a Statement of Work (SOW). When Borland and a customer enter into a services agreement or SOW with provisions for billing and payment in advance of the delivery of the services, there are contract terms which provide a date by which the services need to be scheduled and provided. Contract terms provide for forfeiture of the prepayment for services if the services are not scheduled and used by the expiration date.

Effective March 1, 2008, Borland will no longer extend contract expiration dates related to prepaid services contracts or SOW’s, unless a change order is executed prior to that expiration date. A fee will be charged to execute the change order. The amount of the fee will be calculated as the lesser of 10% of the remaining SOW balance or $5000. If a change order is executed, services will be performed in accordance to the new change order terms.
